By accessing or using the Tempo platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Tempo is a unified workforce management platform that provides human resources, performance management, payroll, benefits administration, and related services. The Service is provided on a subscription basis with different tiers offering varying features and capacities.
You retain all rights, title, and interest in your data. By using the Service, you grant Tempo a limited license to process your data solely for the purpose of providing and improving the Service. We act as a data processor on your behalf, and you remain the data controller. Our processing activities are governed by our Data Processing Agreement (DPA), available upon request.

For Enterprise plan customers, Tempo provides a 99.9% uptime guarantee. Scheduled maintenance windows are excluded. Credits for downtime exceeding the SLA are applied as per the Enterprise agreement. Starter and Professional plans target 99.5% uptime with no SLA credits.
The Service, including its design, features, code, documentation, and branding, is the intellectual property of Tempo and is protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TEMPO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Either party may terminate the agreement at any time. Upon termination, your right to access the Service ceases. We will make your data available for export for 30 days after termination, after which it will be permanently deleted.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.
We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
